Master Services Agreement
This Master Services Agreement has been carefully reviewed and certified Customer Favorable by TermScout an independent contract rating company.
Security Program Framework (Technical and Organizational)
Company has implemented and maintains an information security program designed to protect against unauthorized or unlawful Processing of Client Personal Data or its accidental loss, destruction, or damage, including the measures described below. With acceptance or execution of an applicable Company Master Services Agreement, this security program framework of technical and organizational measures is made a part of the Master Services Agreement between Client and Company (the “Agreement”). The Agreement reflects the parties’ agreement with regard to the security and safeguarding of Client Personal Data, unless another agreement containing security terms has been agreed to in writing by both Parties. Unless otherwise stated, capitalized terms shall have the meanings set forth in the Agreement.
Data Processing (DPA)
The terms of this Data Processing Agreement (“DPA”) shall apply to any Processing of Personal Data carried out by the Parties under an applicable Company Master Services Agreement accepted or executed by Client (the “Agreement”). Capitalized terms used in this DPA but not defined below are defined in the Agreement.
Resilience Program (DORA)
Company has implemented and shall maintain resilience program designed to promote applicable resilience regulation, such as Regulation (EU) 2022/2554 of the European Parliament and of the Council of 14 December 2022 on digital operational resilience for the financial sector and amending Regulations (EC) No 1060/2009, (EU) No 648/2012, (EU) No 600/2014, (EU) No 909/2014 and (EU) 2016/1011 (“DORA” (“Resilience Regulation”).
Subprocessors List
As part of its provision of services, Everbridge’s Critical Event Management Platform will send alerts and messages at your direction to identified recipients using standard protocols (such as email, SMS) or customer-controlled communications channels (such as Slack, Teams), wherever they are in the world. That means that the messages will transit and be routed through telecommunications providers globally to reach the devices of designated end recipients. Because Everbridge cannot predict where a particular recipient will travel or how messages will be routed over a network, we cannot predict what telecommunications providers might process those messages in the process of
transmitting them to the recipient. A list of the potential telecommunications providers is included below under “Available Communication Delivery Channels.”
Acceptable Use Policy
Everbridge has prepared this Acceptable Use Policy (“AUP”) as a guide for its clients to understand the intended and permissible uses of our service. This AUP sets forth guidelines for acceptable use of the applicable Everbridge service(s) (the “Service(s)”) by Client and its users.
